Terms of Service

By engaging VN GURU for any service — including Sysadmin as a Service, DevOps consulting, or any related work — you agree to be bound by these Terms of Service. Please read them carefully before proceeding.

1. Services

VN GURU provides managed Linux server administration, DevOps consulting, CI/CD pipeline setup, infrastructure configuration, monitoring, and related technical services ("Services"). The exact scope of each engagement is agreed upon in writing (via email or a written proposal) before work begins.

2. Client Responsibilities

You agree to:

  • Provide accurate information about your infrastructure and requirements.
  • Grant appropriate SSH or administrative access necessary to perform the agreed work.
  • Maintain backups of critical data independent of any backup services provided.
  • Pay invoices on time as agreed in the proposal or retainer agreement.
  • Not use the services for any unlawful, abusive, or malicious purpose.

3. Managed Retainer Plans

Monthly retainer plans are billed in advance at the start of each billing cycle. Services within a retainer are defined in the agreed scope. Work outside the agreed scope may incur additional charges, agreed upon before commencement.

4. Fixed-Price Projects

DevOps and one-time setup projects are quoted at a fixed price with clearly defined deliverables. Payment terms (e.g., 50% upfront, 50% on completion) are specified in the written proposal. Additional work beyond the defined scope will be quoted separately.

5. Payment Terms

Invoices are due within 7 days of issuance unless otherwise agreed in writing. Late payments may result in suspension of services. Accepted payment methods are specified in the invoice.

6. Cancellation

Monthly retainer plans may be cancelled with 30 days written notice. No refunds are issued for the current billing period after work has commenced. For fixed-price projects, cancellation terms are governed by the Refund Policy.

7. Confidentiality

VN GURU treats all client infrastructure details, credentials, and business information as strictly confidential. Credentials are never stored beyond the active engagement period. Access to client systems is revoked upon request at any time.

8. Limitation of Liability

VN GURU performs all work with professional care and industry-standard practices. However, VN GURU shall not be liable for any indirect, incidental, or consequential damages including data loss, service downtime, or loss of revenue arising from the performance of services. Total liability for any claim shall not exceed the amount paid in the 30 days preceding the claim.

9. Warranties

Services are provided "as is" with reasonable skill and care. VN GURU does not guarantee 100% uptime of third-party infrastructure, hosting providers, or services outside of direct control.

10. Governing Law

These Terms are governed by the laws of Vietnam. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, both parties agree to seek mediation before pursuing legal action.

11. Changes to Terms

VN GURU reserves the right to update these Terms. Active clients will be notified by email at least 14 days before changes take effect. Continued use of the Services after that date constitutes acceptance.
