Terms of Service

These Terms of Service govern your access to and use of the VN GURU Cloud Solutions platform and associated services ("Platform"), operated by VN GURU Cloud Solutions (vnguru.com). By subscribing to any plan or using the Platform, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Services

VN GURU Cloud Solutions provides a managed server platform ("Platform") that includes Linux server administration, CI/CD pipeline automation, infrastructure monitoring, security maintenance, and DevOps tooling. Platform features and support scope are defined by the subscription plan selected.

2. Client Responsibilities

You agree to:

  • Provide accurate information about your infrastructure and requirements.
  • Provide appropriate remote access credentials necessary to perform the agreed work, which remain under your control and can be revoked at any time.
  • Maintain backups of critical data independent of any backup services provided.
  • Pay invoices on time as agreed in the proposal or retainer agreement.
  • Not use the services for any unlawful, abusive, or malicious purpose.

3. Managed Retainer Plans

Monthly subscription plans are billed in advance at the start of each billing cycle and auto-renew each billing cycle until cancelled. Services within a subscription are defined in the agreed scope. Work outside the agreed scope may incur additional charges, agreed upon before commencement.

  • Subscriptions are billed monthly via Paddle, our payment processor and Merchant of Record.
  • Your subscription auto-renews on your billing renewal date unless cancelled beforehand.
  • You may cancel at any time via the client portal at app.vnguru.com — no 30-day notice period is required.
  • Upon cancellation, service continues until the end of the current billing period. No further charges will be made.

4. Fixed-Price Projects

DevOps and one-time setup projects are quoted at a fixed price with clearly defined deliverables. Payment terms (e.g., 50% upfront, 50% on completion) are specified in the written proposal. Additional work beyond the defined scope will be quoted separately.

5. Payment Terms

All payments for subscription plans are processed by Paddle.com, who acts as the Merchant of Record for VN GURU Cloud Solutions. Paddle handles billing, tax compliance, and payment processing globally.

  • Accepted payment methods: credit and debit cards (Visa, Mastercard, and others as offered by Paddle).
  • Subscriptions are auto-billed on your renewal date each billing cycle.
  • For fixed-price projects, invoices are due within 7 days of issuance unless otherwise agreed in writing.
  • Late or failed payments may result in suspension of services.

5a. Plan Changes

You may upgrade, downgrade, or cancel your subscription at any time via the client portal at app.vnguru.com.

  • Upgrades: take effect immediately; any prorated difference for the remainder of the current billing cycle is charged at the time of upgrade.
  • Downgrades: scheduled to take effect at the start of the next billing cycle; you retain access to your current plan until then.
  • Cancellations: service continues until the end of the current billing period with no further charges.

6. Cancellation

Monthly subscription plans may be cancelled at any time via the client portal — no advance notice period is required. No refunds are issued for the current billing period after it has begun. For fixed-price projects, cancellation terms are governed by the Refund Policy.

7. Confidentiality

VN GURU Cloud Solutions treats all client infrastructure details, credentials, and business information as strictly confidential. Credentials are never stored beyond the active engagement period. Access to client systems is revoked upon request at any time.

8. Limitation of Liability

VN GURU Cloud Solutions performs all work with professional care and industry-standard practices. However, VN GURU Cloud Solutions shall not be liable for any indirect, incidental, or consequential damages including data loss, service downtime, or loss of revenue arising from the performance of services. Total liability for any claim shall not exceed the amount paid in the 30 days preceding the claim.

9. Warranties

Services are provided "as is" with reasonable skill and care. VN GURU Cloud Solutions does not guarantee 100% uptime of third-party infrastructure, hosting providers, or services outside of direct control.

10. Governing Law

These Terms are governed by the laws of Vietnam. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, both parties agree to seek mediation before pursuing legal action.

11. Changes to Terms

VN GURU Cloud Solutions reserves the right to update these Terms. Active clients will be notified by email at least 14 days before changes take effect. Continued use of the Services after that date constitutes acceptance.
